Welcome to Thynk Studio (“Company,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of https://thynkstudio.com (the “Site”) and set forth the legal terms applicable to our web design, development, digital optimization, and consulting services (collectively, “Services”).

By accessing our Site or engaging Thynk Studio for professional Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

1. Scope of Services

Thynk Studio specializes in high-converting web design, custom website development, AI automation, SEO, and growth consulting services—primarily for solar installers, clean energy enterprises, and technical businesses.

  • Proposals & Statements of Work (SOW): Specific scope, deliverables, timelines, and fees for individual projects will be defined in a customized Proposal, Estimate, or Statement of Work signed or accepted by both parties.

  • Scope Creep: Any revisions, features, or requests outside the originally agreed SOW will require a separate written estimate or change order and may incur additional charges.

2. Client Responsibilities & Deliverables

To ensure project success and adhere to delivery timelines, the Client agrees to:

  1. Provide Content & Assets: Supply all necessary content, copy, brand assets, high-resolution logos, product details, images, credentials, and access permissions in a timely manner.

  2. Timely Feedback: Review deliverables and provide consolidated feedback or approvals within 5 business days of receiving a preview or revision link.

  3. Project Delays: Delays caused by late submission of assets, delayed feedback, or scope adjustments by the Client may result in timeline extensions and scheduling adjustments.

3. Payment Terms & Invoicing

  • Payment Schedule: Unless specified otherwise in your customized SOW, custom project engagements require a deposit/upfront payment prior to project kickoff, with remaining installments tied to specific milestones or final launch readiness.

  • Invoices: All invoices are due upon receipt or according to the payment schedule specified in the proposal.

  • Late Payments: Accounts overdue by 14 days or more may be subject to a late fee of 1.5% per month (or the maximum allowable by law) and may result in the temporary suspension of work or staging server access until balances are paid in full.

  • Refunds: Due to the custom, labor-intensive nature of our creative and technical work, payments and deposits are non-refundable once work on a milestone or phase has commenced.

4. Intellectual Property & Ownership Rights

  • Client Work Product: Upon receipt of full and final payment, Thynk Studio grants the Client full ownership rights to the bespoke design assets, frontend layouts, and custom code created specifically for the project.

  • Agency Tools & Pre-Existing IP: Thynk Studio retains all ownership and rights to pre-existing code frameworks, proprietary design systems, reusable code snippets, stock assets, or third-party software integrated into the site.

  • Third-Party Licenses: The Client is responsible for maintaining subscriptions and licenses for any third-party plugins, APIs, premium software, stock photography, or hosting environments required to run their website.

  • Portfolio & Showcase Display: Unless explicitly agreed otherwise in writing via a Non-Disclosure Agreement (NDA), Thynk Studio retains the right to display completed project designs, case studies, and visual representations of the site in our online portfolio, social media channels, and agency marketing materials.

5. Warranties & Bug-Fix Period

  • Post-Launch Warranty: Thynk Studio provides a 30-day warranty following project delivery or launch to fix any technical bugs, layout glitches, or code breaks directly related to our scope of work at no extra cost.

  • Exclusions: This warranty does not cover issues resulting from third-party server outages, third-party plugin updates performed by the client, custom code modifications by unauthorized parties, or user error.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Consequential Damages: Thynk Studio shall not be held liable for any indirect, incidental, special, reliance, or consequential damages (including loss of revenues, profits, business interruption, or data loss) arising out of or in connection with our Site or Services.

  • Cap on Liability: Thynk Studio’s aggregate liability for any direct claims arising under these Terms shall not exceed the total amount actually paid by the Client to Thynk Studio for the specific project or service giving rise to the claim during the prior six (6) months.

7. Confidentiality

Both parties agree to hold in strict confidence all proprietary or non-public business information, credentials, financial details, and strategic plans disclosed during the course of engagement. Confidential information shall only be used for the execution of the project.

8. Termination

  • Termination for Convenience: Either party may terminate a project agreement by providing 14 days written notice. In the event of termination, the Client shall pay Thynk Studio for all completed work, billable hours, and uncancelable third-party commitments incurred up to the date of termination.

  • Termination for Cause: Either party may terminate immediately if the other party breaches a material term of these Terms or becomes insolvent.

9. Third-Party Links & Integrations

Our website and client projects may link to or integrate with third-party software (e.g., WordPress plugins, hosting environments, CRM systems, AI tools, analytics). Thynk Studio does not control, endorse, or assume responsibility for third-party tools, privacy policies, or service downtimes.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Thynk Studio operates, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the competent courts of our primary business jurisdiction.

11. Modifications to Terms

We reserve the right to update or modify these Terms at any time to reflect changes in our business practices or applicable laws. Any updates will be published on this page with an updated “Effective Date.” Continued use of our Site or Services constitutes acceptance of the revised Terms.
